Welcome to Bitlogicx. These Terms and Conditions govern your use of our website at bitlogicx.com and your engagement with our software development services. By accessing our website or engaging our services, you agree to be bound by these terms.

By accessing or using the Bitlogicx website, submitting a contact form, or entering into a project agreement with Bitlogicx, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

In these terms, "Bitlogicx," "we," "us," and "our" refer to Bitlogicx, the software development company headquartered in Lahore, Pakistan. "Client," "you," and "your" refer to any individual or organization that engages our services or uses our website. "Services" refers to the software development, consulting, design, testing, deployment, and maintenance services provided by Bitlogicx. "Deliverables" refers to any software, code, designs, documentation, or other materials created by Bitlogicx during a project engagement.

These terms may be supplemented by specific terms outlined in individual project agreements or statements of work. In the event of a conflict between these general terms and a signed project agreement, the project agreement shall prevail.

Bitlogicx provides a comprehensive range of software development services, including but not limited to custom software development for web, mobile, and desktop platforms; MVP development and rapid prototyping for startups; UI/UX design and user research; quality assurance and software testing; cloud infrastructure setup, migration, and management; API development and third-party integrations; ongoing maintenance, support, and feature enhancements; and technical consulting and technology stack advisory.

The specific scope, timeline, deliverables, and pricing for each engagement are defined in individual project agreements or statements of work signed by both parties. These terms provide the general framework that governs all engagements unless otherwise specified.

Successful software development projects require active collaboration between Bitlogicx and the client. As a client, you agree to provide timely and accurate information, feedback, and approvals as needed throughout the project lifecycle.

You are responsible for ensuring that any content, data, or materials you provide to Bitlogicx do not infringe upon the intellectual property rights of any third party. You must designate authorized representatives who have the authority to make decisions, provide approvals, and communicate requirements on behalf of your organization.

You agree to maintain the confidentiality of any project related credentials, access tokens, or sensitive information shared during the engagement. Delays caused by the client in providing feedback, approvals, or required materials may result in adjustments to the project timeline and budget as outlined in the project agreement.

You agree to use the Bitlogicx website only for lawful purposes and in accordance with these terms. You shall not use the website in any way that violates applicable local, national, or international laws or regulations, attempt to gain unauthorized access to any part of the website, its servers, or any connected databases, use automated tools, bots, or scrapers to extract content without prior written permission, transmit any material that contains viruses, malware, or any harmful code, or impersonate any person or entity or misrepresent your affiliation with any organization.

Bitlogicx reserves the right to restrict or terminate access to the website for any user who violates these terms, without prior notice.

All intellectual property created by Bitlogicx during the course of a project, including but not limited to source code, designs, documentation, and related materials, shall be subject to the terms outlined in the individual project agreement.

Unless otherwise specified in a signed agreement, Bitlogicx retains ownership of all proprietary tools, frameworks, libraries, and reusable components developed independently or prior to the engagement. Clients receive a license to use deliverables upon full payment as defined in the project contract.

Clients shall not reproduce, distribute, modify, or create derivative works from any Bitlogicx proprietary materials without prior written consent. Any third-party software or open-source components used in a project will be subject to their respective licenses, and Bitlogicx will disclose such usage upon request.

All trademarks, logos, and brand elements displayed on this website are the property of Bitlogicx or their respective owners and may not be used without express written permission.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of engagement. Confidential information includes, but is not limited to, business strategies, technical specifications, user data, financial information, and trade secrets.

Bitlogicx implements industry-standard security measures to protect client data, including encrypted communications, secure development environments, and access controls. Our team members are bound by internal confidentiality agreements.

Confidentiality obligations shall survive the termination of any agreement for a period specified in the project contract, or indefinitely for trade secrets. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law.

For detailed information about how we handle personal data, please refer to our Privacy Policy.

Payment terms are established in individual project agreements and may vary based on the scope, duration, and nature of the engagement. Standard payment structures include milestone-based payments, monthly retainers, or fixed project fees.

Invoices are issued according to the schedule outlined in the project agreement. Payment is due within the timeframe specified in the invoice, typically within 15 to 30 business days of receipt.

Late payments may incur interest charges as specified in the project agreement. Bitlogicx reserves the right to suspend work on any project where payments are overdue by more than 30 days, after providing written notice to the client.

All fees quoted are exclusive of applicable taxes unless explicitly stated otherwise. Clients are responsible for any taxes, duties, or government levies associated with the services provided.

Bitlogicx strives to deliver high-quality software solutions that meet the specifications outlined in each project agreement. However, except as expressly stated in a signed project agreement, all services and deliverables are provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, Bitlogicx disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Bitlogicx does not warrant that any software deliverable will be entirely free of defects or errors, or that it will operate without interruption. Bug fixes and post delivery support are subject to the terms of the applicable maintenance or support agreement.

Nothing in this section shall exclude or limit any warranty that cannot be lawfully excluded or limited under the applicable jurisdiction.

To the fullest extent permitted by law, Bitlogicx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with the use of our services or deliverables.

The total cumulative liability of Bitlogicx for any claims arising under or related to any agreement shall not exceed the total fees paid by the client to Bitlogicx under that specific agreement during the twelve months preceding the claim.

This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise, even if Bitlogicx has been advised of the possibility of such damages.

Certain jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the liability of Bitlogicx shall be limited to the maximum extent permitted by law.

The client agrees to indemnify, defend, and hold harmless Bitlogicx, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to the client's use of the services or deliverables, violation of these terms, or infringement of any third-party rights.

Bitlogicx agrees to indemnify the client against any third-party claims alleging that the deliverables, as provided by Bitlogicx, infringe upon the intellectual property rights of a third party, provided that the client promptly notifies Bitlogicx of any such claim and cooperates fully in the defense.

Our website and deliverables may contain links to third-party websites, tools, or services that are not owned or controlled by Bitlogicx. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

The inclusion of any third-party link does not imply endorsement, approval, or recommendation by Bitlogicx. Clients and visitors access third-party websites and services at their own risk.

Bitlogicx may recommend or integrate third-party tools and services as part of project deliverables. The use of such tools is subject to the respective third-party terms of service and licensing agreements.

Bitlogicx reserves the right to modify, update, or replace these Terms and Conditions at any time. Changes will be effective immediately upon posting the updated terms on this page with a revised effective date.

We encourage users and clients to review this page periodically to stay informed about any changes. Continued use of the website or our services after the posting of changes constitutes acceptance of the modified terms.

For active project engagements, material changes to terms that affect ongoing work will be communicated directly to the client via email or through the project management platform.

These Terms and Conditions shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Lahore, Pakistan.

For international clients, Bitlogicx is open to including alternative dispute resolution mechanisms such as mediation or arbitration in individual project agreements, subject to mutual agreement.

The parties agree to attempt to resolve any disputes through good faith negotiation before pursuing formal legal proceedings.

Either party may terminate a project engagement in accordance with the termination provisions outlined in the specific project agreement. In the absence of specific termination provisions, either party may terminate with 30 days' written notice.

Upon termination, the client shall pay for all services rendered and expenses incurred up to the effective date of termination. Bitlogicx shall deliver all completed work products to the client, subject to full payment of outstanding invoices.

Termination of a project agreement does not affect the provisions of these Terms and Conditions that are intended to survive termination, including but not limited to intellectual property rights, confidentiality obligations, limitation of liability, and indemnification.
